Terms of Service

1. Acceptance of Terms

By accessing or using selfActual.ai and any associated applications, including Imprint, Atlas, and Vault (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy, incorporated herein by reference.

If you do not agree to these Terms, you may not access or use the Services. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

These Terms constitute a legally binding agreement between you and SelfActual, Inc., a Delaware corporation (“SelfActual,” “we,” “us,” or “our”).

2. Alpha Program and Early Access

The Services are currently offered in an alpha stage of development. This means:

  • Features, functionality, and availability may change without notice.
  • The Services may contain bugs, errors, or other issues.
  • Performance, reliability, and security are not yet at production levels and are actively being developed.
  • We may modify, suspend, or discontinue any aspect of the Services at any time, with or without notice.

Your participation in the alpha program is at your sole risk. We make no representations that the Services will meet your requirements, operate without interruption, or be error-free. Alpha access is provided as-is and as-available, without warranty of any kind.

We reserve the right to limit, restrict, or terminate alpha access at our discretion.

3. Eligibility

You must be at least 13 years of age to use the Services. By using the Services, you represent and warrant that you meet this requirement and that all information you provide is accurate and complete.

4. Account Registration

To access certain features, you may be required to register for an account. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activity that occurs under your account
  • Promptly notifying us of any unauthorized use at support@selfactual.ai

We reserve the right to terminate or suspend accounts at our discretion.

5. Your Vault and Your Data

SelfActual provides a personal data vault built on the W3C Solid protocol. With respect to your vault:

  • You own your data. We act as custodian of your vault, not as owner. Your self-knowledge content belongs to you.
  • You are responsible for your content. You are solely responsible for the information you input, import, or generate within the Services.
  • Portability. We will provide mechanisms to export your vault data in open, portable formats. We do not intentionally lock your data to our platform.
  • No guarantee of persistence. While we make reasonable efforts to maintain data availability during the alpha period, we do not warrant that your vault data will be preserved without interruption or loss. We strongly encourage you to maintain independent backups of any information you consider critical.

6. Permitted Use and Restrictions

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Services in any way that violates applicable law or regulation
  • Upload, transmit, or store content that is unlawful, harmful, defamatory, obscene, or that infringes any third-party rights
  • Attempt to gain unauthorized access to any portion of the Services or any related systems
  • Interfere with or disrupt the integrity or performance of the Services
  • Use the Services to transmit spam, malware, or other harmful materials
  • Reverse-engineer, decompile, or disassemble any portion of the Services
  • Use automated tools or scripts to access the Services in a manner that exceeds normal usage

We reserve the right to suspend or terminate access for violations of these restrictions.

7. Intellectual Property

7.1 Our IP

The Services, including all software, interfaces, documentation, and branding, are owned by SelfActual or its licensors and are protected by intellectual property laws. These Terms do not grant you any ownership interest in the Services.

7.2 Your Content

You retain ownership of the content you create or provide through the Services. By using the Services, you grant SelfActual a limited, non-exclusive license to process your content solely as necessary to operate and provide the Services to you. This license does not permit us to use your content for training AI models, advertising, or any purpose beyond service delivery.

7.3 Feedback

If you provide feedback, suggestions, or ideas about the Services, you grant SelfActual the right to use that feedback without restriction or compensation. Feedback does not include your personal vault data.

8. Third-Party Integrations

The Services may integrate with or connect to third-party platforms, AI providers, or services. These integrations are subject to those third parties’ own terms and privacy policies. SelfActual is not responsible for the practices, availability, or content of third-party services. Your use of connected third-party services is at your own risk.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SELFACTUAL DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

SELFACTUAL DOES NOT WARRANT THAT:

  • THE SERVICES WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS
  • THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
  • ANY INFORMATION OBTAINED THROUGH THE SERVICES WILL BE ACCURATE OR RELIABLE
  • ANY DEFECTS IN THE SERVICES WILL BE CORRECTED

No advice or information, whether oral or written, obtained by you from SelfActual or through the Services, will create any warranty not expressly made in these Terms.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:

SELFACTUAL, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, LOSS OF BUSINESS, OR COST OF SUBSTITUTE SERVICES, EVEN IF SELFACTUAL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT WILL SELFACTUAL’S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID TO SELFACTUAL IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless SelfActual and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in connection with: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you submit to or through the Services.

12. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. You may discontinue use of the Services at any time.

Upon termination, your right to use the Services ceases immediately. Provisions of these Terms that by their nature should survive termination — including intellectual property, disclaimer of warranties, limitation of liability, indemnification, and dispute resolution — will survive.

We will make reasonable efforts to allow you to export your vault data upon account termination, subject to the limitations described in Section 5.

13. Modifications to the Services and Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting an updated version on our website and updating the effective date. Your continued use of the Services after such notice constitutes your acceptance of the revised Terms.

We may also modify, suspend, or discontinue the Services or any features thereof at any time without liability to you.

14. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

Any dispute arising out of or related to these Terms or the Services shall be resolved exclusively in the state or federal courts located in the State of Delaware, and you consent to personal jurisdiction in those courts.

You and SelfActual each waive any right to a jury trial in connection with any dispute arising out of or related to these Terms or the Services.

15. Miscellaneous

  • Entire Agreement. These Terms and our Privacy Policy constitute the entire agreement between you and SelfActual regarding the Services and supersede all prior agreements.
  • Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
  • No Waiver. SelfActual’s failure to enforce any provision is not a waiver of its right to do so later.
  • Assignment. You may not assign your rights under these Terms without our prior written consent. SelfActual may assign its rights without restriction.
  • Force Majeure. SelfActual is not liable for any failure or delay in performance resulting from causes beyond our reasonable control.
